The Annual Meeting of the Shareholders of Nocera, Inc. will be held virtually via. Zoom on Monday January 12th, 2026 at 12:00pm Eastern time.

You may request paper copies of the 2025 Annual Report (Form 10-K) and the Proxy Statement.  You may request paper copies of the Proxy Material by one of the following:

• Email:  Please send an email to vote@mountainsharetransfer.com with your name, address, and shareholder ID, along with a request for paper copies of the proxy materials.

How to Vote:  (you may vote until 11:59pm Pacific Time on January 11th, 2026)

2. By Facsimile:  Please fax a signed copy of the Proxy Card to (404)-816-8830.
3. By Email:  Please email a copy of a signed Proxy Card to vote@mountainsharetransfer.com

Please note that Mountain Share Transfer is handling the shareholder voting for both Registered Shareholders (Those whose information is maintained by Mountain Share Transfer) and shareholders who hold their shares in their brokerage account (Streetname Shareholders).

In order to vote your proxy, if you are a Registered Shareholder, you will 1st need to register your account for online access.  If you have not already done so, please visit https://online.mountainsharetransfer.com/hlogin and the follow the instructions below.  Please note you will need your shareholder statement in order to complete the registration process.

1. Please check the box marked “Register”.  This will take you to the registration page.
2. Please enter the requested information, and create a password that you can remember.
3. Please select the appropriate security questions.  This will complete your registration.

How to Vote Once You Have Accessed Your Account, or are a Streetname Shareholder.

1. Please go to:  https://online.mountainsharetransfer.com/pxlogin
2. Enter the Proxy Control number found at the bottom of your Proxy Voting Card.
3. Complete the voting and submit.
